Service agreement
This agreement is between DealersGO LLC, an Ohio limited liability company ("DealersGO"), and the dealership named below ("Dealer"). It starts on the day Dealer's first payment goes through (the "start date").
1. The service
DealersGO provides the DealersGO Chrome extension and dealer dashboard: posting Dealer's inventory to Facebook Marketplace from its salespeople's own Facebook accounts, inventory sync from Dealer's website or feed, buyer messages as leads, and reports. One dealership (one website or inventory feed), with unlimited listings and unlimited salespeople.
2. Price
$149 per month. No setup fee. Billed monthly in advance through Stripe, by card or bank account, starting on the start date. Sales tax is added where the law requires it. A discount shown at signup applies only as described there. Payments already made are not refunded for unused days.
3. Term and commitment
The first term is 3 calendar months from the start date. Dealer commits to the 3 monthly payments of that term: $447 in total, plus any tax, less any signup discount. After that this agreement continues month to month until either party cancels.
4. Cancelling
After the first term, Dealer may cancel at any time under Settings → Billing in the dashboard or by emailing support@dealersgo.com. The service runs to the end of the month already paid. There is no cancellation fee. During the first term, Dealer may cancel only under section 9, 10 or 15; if Dealer stops paying during the first term, the remaining monthly payments for that term are still owed.
5. Late payment
If a payment fails, DealersGO will tell Dealer by email. If it isn't sorted out within 7 days, DealersGO may pause the service until it is. A pause does not reduce what is owed for the first term.
6. Price changes
The price cannot change during the first term. After that, DealersGO may change it with at least 30 days' notice by email, and Dealer may cancel before the new price applies.
7. Dealer's responsibilities
Dealer and its salespeople use their own Facebook accounts and follow Facebook's terms and Commerce Policies; keep listings accurate (price, condition, availability and required disclosures) and lawful, including advertising rules for vehicle sales; and keep keys and logins private, removing anyone who leaves. Dealer is responsible for the listings posted for it.
8. Acceptable use
Dealer uses DealersGO only for its own dealership. Dealer will not share keys or logins with anyone outside the dealership; resell, rent or sublicense the service; copy, reverse engineer or decompile the extension or dashboard, except where the law allows it; try to get around its limits, security or posting safeguards; or use it for spam, fraud or vehicles Dealer has no right to advertise. DealersGO may suspend a key, a login or the account straight away to stop abuse, fraud or a threat to the service or to other users, will tell Dealer why by email, and will restore access once the problem is fixed.
9. Facebook
DealersGO is not affiliated with, endorsed by or sponsored by Meta or Facebook. At any time Facebook may change how Marketplace works; change its terms, policies or tools; limit or block posting by tools like DealersGO; or limit, restrict or disable a salesperson's account. DealersGO does not control those decisions. It cannot promise that a Facebook account will never be limited or restricted, and it does not promise any number of views, leads or sales. If a change on Facebook's side stops DealersGO from posting for Dealer for more than 14 days in a row and DealersGO cannot fix it, Dealer may cancel straight away, even during the first term, and owes nothing further.
10. Support and availability
Support is by email at support@dealersgo.com or the help center at dealersgo.com/support, Monday to Friday, Eastern time. DealersGO aims to reply within one business day; that is a target, not a promise to fix a problem by a certain time. The service may be briefly unavailable for updates, maintenance or outages, and there is no uptime guarantee. If a problem on DealersGO's side keeps the service from working for Dealer for more than 14 days in a row, Dealer may cancel straight away, even during the first term, and owes nothing further.
11. Data and security
Dealer's inventory, listing history and leads belong to Dealer. DealersGO uses them only to provide the service, as described in the privacy policy at dealersgo.com/privacy, and never sells them. DealersGO protects them with reasonable security measures, including encrypted connections and hashed passwords. Only DealersGO people who need it to run or support the service, and the providers that run it (hosting, email, payments and, if Dealer turns it on, AI writing), can access them. If DealersGO learns that someone got into Dealer's data without permission, it will tell Dealer by email within 72 hours of confirming it, with what it knows and what it is doing about it. Dealer can export its data at any time. After cancelling, Dealer can ask DealersGO to delete it, and DealersGO will do so within 30 days, except records the law requires it to keep, such as invoices.
12. Ownership
DealersGO LLC owns the DealersGO extension, dashboard and software, their design and how they work, and any improvements. While this agreement runs, Dealer may use them for its dealership. Nothing here transfers ownership of the software to Dealer or of Dealer's data to DealersGO. If Dealer suggests an improvement, DealersGO may use it freely.
13. Warranty and liability
DealersGO provides the service with reasonable care but "as is", without other warranties. Neither party is liable for lost profits or indirect damages. Each party's total liability under this agreement is limited to the fees Dealer paid in the 3 months before the claim. These limits do not apply to fees Dealer owes, to section 14, or to fraud or intentional misconduct.
14. Claims about Dealer's listings
If someone else (a buyer, a regulator or Facebook, for example) makes a claim against DealersGO because of Dealer's vehicles, prices, listing content or advertising, or because Dealer or its salespeople broke section 7 or 8, Dealer will defend DealersGO and pay the resulting reasonable costs and any damages awarded or settlement Dealer agrees to, to the extent the claim was caused by Dealer. DealersGO will tell Dealer promptly and let Dealer control the defense.
15. Ending for cause
Either party may end this agreement if the other seriously breaks it and does not fix the problem within 14 days of written notice.
16. General
Ohio law governs this agreement. It is the whole agreement about the service and replaces anything said before. Neither party is responsible for delays caused by events outside its reasonable control, except for paying what it owes. Notices go by email: to DealersGO at support@dealersgo.com, and to Dealer at the email below. Dealer agrees that typing a name and checking the box below is a signature with the same effect as a handwritten one, and that the person signing is authorized to sign for Dealer.
